PORTWISE - TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Portwise (the "Service"), operated by Carraway & Gatsby Corporation (the "Company", "we", "us", or "our").
By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.
1. Description of Service
Portwise is a portfolio risk analytics platform that provides:
- Risk metrics (including but not limited to volatility, beta, drawdown).
- Exposure aggregation.
- Benchmark comparisons.
- Concentration analysis.
- Proprietary risk scoring models.
Portwise is a software analytics tool only.
Portwise is NOT:
- A broker-dealer.
- An investment advisor.
- A fiduciary.
- A financial planner.
- A custodian.
- A securities exchange.
2. No Investment Advice
All content, analytics, scores, reports, metrics, and visualizations are provided strictly for informational and analytical purposes.
Nothing on the Service constitutes:
- Investment advice.
- Financial advice.
- Tax advice.
- Legal advice.
- Recommendation to buy or sell any security.
You acknowledge and agree that:
- All investing involves risk.
- Market conditions are unpredictable.
- Past performance does not guarantee future results.
3. Eligibility
You must:
- Be at least 18 years old.
- Have legal capacity to enter binding agreements.
By using the Service, you represent that you meet these requirements.
4. Account Responsibility
You are responsible for:
- Maintaining confidentiality of login credentials.
- All activities under your account.
- Providing accurate registration information.
We are not liable for losses resulting from unauthorized access to your account.
5. Market Data & Third-Party Providers
The Service relies on third-party data providers, which may include financial market data vendors and infrastructure providers.
We do not guarantee:
- Accuracy.
- Completeness.
- Timeliness.
- Availability.
- Error-free operation.
Market data may be delayed, revised, or inaccurate.
Important decisions should be validated with additional independent sources.
6. Subscription & Billing
Portwise operates on a recurring subscription basis.
- Fees are billed in advance.
- Service period starts at payment confirmation time: monthly plan grants 30 days, yearly plan grants 365 days.
- Subscriptions automatically renew unless canceled before the renewal date.
- If canceled, service remains available through the end of the current paid period.
- You authorize recurring charges.
- Taxes may apply depending on your jurisdiction.
- Failure of payment may result in suspension or termination.
7. Intellectual Property
All content, algorithms, scoring systems, design, models, software code, and branding are proprietary to the Company.
You may not:
- Reverse engineer.
- Decompile.
- Copy.
- Redistribute.
- Resell.
- Use the Service to create competing products.
Unauthorized use may result in termination and legal action.
8. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE".
To the fullest extent permitted by law, the Company disclaims all warranties, including:
- Accuracy.
- Reliability.
- Merchantability.
- Fitness for a particular purpose.
- Non-infringement.
We do not guarantee uninterrupted or error-free operation.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
The Company shall not be liable for:
- Investment losses.
- Trading losses.
- Market losses.
- Loss of profits.
- Indirect damages.
- Consequential damages.
- Special or punitive damages.
Total liability shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain liability limitations; in such cases, liability shall be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or losses arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your investment decisions.
11. Termination
We may suspend or terminate your access if:
- You violate these Terms.
- Fraudulent activity is suspected.
- Abuse of the system occurs.
You may cancel your subscription at any time through your account settings.
12. Dispute Resolution & Governing Law
These Terms shall be governed by the laws of the jurisdiction in which Carraway & Gatsby Corporation is incorporated, without regard to conflict-of-law principles.
Any dispute shall be resolved through binding arbitration in that jurisdiction.
You waive the right to participate in class-action lawsuits or class-wide arbitration.
13. Changes to Terms
We may update these Terms at any time. Continued use of the Service constitutes acceptance of revised Terms.
